Affiliate Program

This Affiliate Program Agreement (“Agreement”) is entered into by and between ADSCARRY LLC (“Adscarry,” “Company,” “we,” “us,” or “our”) and the individual or entity applying to participate in the Adscarry Affiliate Program (“Affiliate,” “you,” or “your”).

By applying for, accessing, or participating in the Affiliate Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement and by any related policies referenced herein, including our Terms of Service, Privacy Policy, Return and Refund Policy, and any other applicable platform rules.

1. Program Purpose

The Adscarry Affiliate Program allows approved affiliates to promote Adscarry products and services through authorized marketing channels and earn commissions on qualifying sales generated through approved referral links or promotional methods.

Participation in the program does not create a partnership, joint venture, employment relationship, agency relationship, or franchise relationship between the parties.

2. Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age or have legal authority to bind the entity you represent.

• Provide accurate, complete, and current registration and tax information.

• Operate lawful marketing channels and comply with all applicable laws.

• Not have been previously removed from the program for cause, unless reinstated in writing by Adscarry.

Adscarry may approve or reject any application at its sole discretion.

3. Enrollment and Approval

You may be required to submit an application and provide information about your website, social media accounts, traffic sources, audience, and promotional methods. Adscarry may review your application and may request additional information before making a decision.

Approval to participate becomes effective only when confirmed by Adscarry through the Affiliate Dashboard, email, or another written notice.

4. Affiliate Relationship

As an approved affiliate, you are authorized to promote eligible Adscarry products only in accordance with this Agreement and any promotional materials or instructions we provide.

You may not make any statement, promise, warranty, or representation on behalf of Adscarry unless expressly authorized in writing.

5. Affiliate Obligations

You agree to:

• Promote Adscarry honestly, accurately, and lawfully.

• Use only approved links, banners, creatives, and other promotional materials.

• Ensure that all advertising complies with applicable consumer protection, marketing, privacy, and disclosure laws.

• Clearly disclose any material relationship with Adscarry where required by law or platform rules.

• Maintain the security and confidentiality of your affiliate account credentials.

• Keep your promotional content current and free from misleading claims.

6. Prohibited Conduct

You must not:

• Misrepresent Adscarry, its products, pricing, services, policies, or availability.

• Use spam, unsolicited bulk messages, deceptive pop-ups, malware, adware, spyware, or similar methods.

• Generate fake traffic, fake clicks, artificial leads, or fraudulent transactions.

• Purchase products through your own affiliate link unless expressly permitted in writing.

• Use trademark bidding, domain impersonation, or false brand association practices.

• Place affiliate links in unlawful, offensive, defamatory, obscene, or infringing content.

• Engage in any activity that could harm Adscarry, our users, our sellers, or our reputation.

Adscarry may suspend or terminate your participation immediately if we reasonably believe you have violated this section.

7. Promotional Materials and Intellectual Property

Adscarry may provide logos, banners, product descriptions, text, and other creative assets for use in connection with the Affiliate Program. All intellectual property rights in Adscarry’s trademarks, logos, website content, product materials, and promotional assets remain the exclusive property of ADSCARRY LLC or its licensors.

You are granted a limited, revocable, non-exclusive, non-transferable license to use approved materials solely for the purpose of promoting Adscarry under this Agreement. You may not modify approved materials except where expressly permitted.

8. Affiliate Links and Tracking

Approved referral links may be used to track qualifying sales generated through your promotional efforts. Tracking is based on Adscarry’s systems, records, and attribution rules.

A sale will generally be considered qualified only if:

• It is generated through a valid affiliate link or approved tracking method.

• The customer completes the order in accordance with Adscarry’s attribution rules.

• The transaction is not later cancelled, refunded, disputed, reversed, or charged back.

• The order is not deemed fraudulent, abusive, or otherwise ineligible.

Adscarry’s tracking and attribution determinations shall be final for internal program purposes, except in cases of manifest error.

9. Commission Eligibility

Commissions are payable only on qualified sales. A commission will not be earned, or may be reversed, if:

• The order is cancelled before fulfillment or otherwise cancelled.

• The order is returned, refunded, or exchanged in a manner that removes the revenue basis for the commission.

• The transaction is subject to a chargeback, payment reversal, or fraud review.

• The customer uses prohibited, fraudulent, or self-dealing methods.

• The order is placed for resale or otherwise violates program rules.

• The sale is otherwise deemed ineligible under this Agreement or the Affiliate Dashboard terms.

If a commission has already been paid on an ineligible transaction, Adscarry may deduct or offset that amount against future payments, to the extent permitted by law.

10. Commission Rates and Changes

Commission rates, payment thresholds, eligible product categories, and attribution rules may be set or modified by Adscarry and may vary by campaign, product, region, or affiliate tier.

Unless otherwise stated in writing, Adscarry may revise commission structures from time to time. Any changes will take effect according to the notice provided in the Affiliate Dashboard, email, or other written communication.

11. Payment Terms

Commissions that are approved and payable will be issued according to the schedule stated in the Affiliate Dashboard or other written terms provided by Adscarry.

Payments may be subject to:

• Verification of identity or tax details.

• Minimum payout thresholds.

• Deductions required by law.

• Processing or transfer fees, where applicable.

• Holds for suspected fraud, chargebacks, or compliance review.

You are responsible for providing accurate payment details. Adscarry is not responsible for payment delays caused by inaccurate information, bank processing times, or third-party payment providers.

12. Taxes

You are solely responsible for determining and satisfying any tax obligations arising from your participation in the Affiliate Program. Where required by law, Adscarry may withhold taxes or request tax documentation.

Any reference to VAT, withholding tax, or similar deductions shall apply only where legally required or expressly stated in the payout terms.

13. Reports and Disputes

Affiliate dashboards, reports, and invoices are provided for convenience and internal accounting purposes. If you believe a report contains an error, you must notify Adscarry within a reasonable period after the report is issued.

Adscarry may investigate discrepancies and, where appropriate, correct manifest errors. Except for obvious error or fraud, Adscarry’s accounting records shall control.

14. Confidentiality

Any non-public information shared with you through the Affiliate Program, including performance data, commission structures, campaign terms, and business information, is confidential unless Adscarry authorizes disclosure in writing or the information becomes public through lawful means.

You must not disclose or misuse confidential information for any purpose outside the scope of this Agreement.

15. Data Protection and Privacy

Your participation in the Affiliate Program is subject to our Privacy Policy. Adscarry may collect, use, store, and process your information to administer the program, verify eligibility, calculate commissions, detect fraud, and comply with legal obligations.

You agree to comply with all applicable privacy and data protection laws in connection with your own promotional activities and audience interactions.

16. Suspension and Termination

Adscarry may suspend, restrict, or terminate your access to the Affiliate Program at any time, with or without notice, if we determine that:

• You have violated this Agreement.

• You have engaged in fraud or suspected fraud.

• Your promotion methods create legal, security, operational, or reputational risk.

• Your account remains inactive for an extended period.

• Continued participation is no longer commercially or operationally appropriate.

You may terminate your participation by providing written notice in accordance with the instructions in your affiliate account or by contacting Adscarry support.

Upon termination, you must stop using Adscarry affiliate materials, links, and branding, except to the extent necessary to remove prior promotional content.

17. Effect of Termination

Termination of participation does not automatically eliminate liability for prior breaches, unpaid obligations, clawbacks, chargebacks, or commission reversals. Any unpaid commission may be withheld or offset where the underlying transaction is later found to be ineligible.

18. Limitation of Liability

To the maximum extent permitted by law, Adscarry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, goodwill, data, or business opportunity arising from or related to the Affiliate Program.

Adscarry does not guarantee traffic, sales volume, conversion rate, or earnings.

19. Indemnification

You agree to indemnify, defend, and hold harmless Adscarry, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising from:

• Your breach of this Agreement.

• Your promotional activities.

• Your violation of law.

• Your misuse of Adscarry’s intellectual property.

• Any content or representations you publish.

20. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws applicable to Adscarry’s operations, subject to mandatory law in any relevant jurisdiction. Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiation, and if unresolved, through the forum or method specified by Adscarry in writing or required by law.

21. Changes to This Agreement

Adscarry may update this Agreement at any time by posting a revised version or by providing notice through the Affiliate Dashboard, email, or another reasonable method. Continued participation in the Affiliate Program after the revised Agreement becomes effective constitutes acceptance of the updated terms.
